- “Website”: AMROITECH.com.
- “Agreement”: The specific written service proposal, quotation, or contract outlining agreed-upon services.
2. Acceptance of Terms
By using our Website or engaging AMROITECH for Services, you confirm you’ve read, understood, and agree to these Terms and our Privacy Policy.
3. Services Provided
The specific details, deliverables, timelines, and costs for each service will be outlined in a separate written Agreement. These Terms form part of any such Agreement. If there’s a conflict, the Agreement’s terms prevail.
4. Client Responsibilities
- Cooperation: You must provide all necessary information, content, and access (e.g., website logins, ad account access) promptly to allow us to perform the Services. Delays on your part may affect timelines and costs.
- Content Accuracy: You are responsible for the legality, accuracy, and ownership rights of all content, images, and intellectual property you provide to us. You agree to protect AMROITECH from any claims related to your content.
- Payment: You agree to pay for Services as outlined in the Agreement. All prices are in Euros (€) and exclude French VAT (TVA) unless stated otherwise.
- Review: You agree to review deliverables and provide feedback/approvals within agreed timeframes.
5. Fees and Payment
- Pricing: Fees are detailed in your Agreement.
- Payment Terms: Payment schedules (e.g., deposits, milestones) are in your Agreement. Invoices are payable upon receipt or as agreed.
- Late Payments: We may charge legal interest rates and recovery costs on overdue amounts as per French law. Services may be paused for overdue payments.
- Refunds: Generally, fees are non-refundable once work has begun or expenses incurred, unless stated otherwise in your Agreement.
6. Intellectual Property (IP)
- Client IP: You retain all IP rights to materials you provide to us (e.g., your logo, content).
- AMROITECH IP: We retain IP rights to our methodologies, tools, and general know-how.
- Project Deliverables: Upon full payment, you will own the IP rights to the specific, custom deliverables created for you (e.g., your website design, app code). We grant you a license to use these for your business.
- Portfolio: We may use completed projects in our portfolio and marketing, unless otherwise agreed.
7. Confidentiality
Both parties agree to keep all non-public, confidential information obtained from the other party secret, even after the Services end.
8. Warranties and Disclaimers
- Our Warranty: We will perform Services with reasonable skill, care, and professionalism according to industry standards.
- No Guarantees: We cannot guarantee specific results for SEO, PPC, or Social Media Marketing (e.g., rankings, traffic, sales) as these depend on external factors beyond our control.
- “As Is” Website: Our Website and its content are provided “as is” without specific warranties.
9. Limitation of Liability
- AMROITECH’s total liability for any claim related to these Terms or Services will not exceed the total fees you paid for those specific Services in the 12 months before the claim arose.
- We are not liable for any indirect, incidental, special, or consequential damages (e.g., lost profits, data loss), even if we were aware of the possibility.
- We are not responsible for issues arising from third-party services or platforms (e.g., Google’s policies, hosting outages).
10. Termination
- Either party may terminate an Agreement by giving written notice as specified in the Agreement (typically 30 days for ongoing services).
- We may terminate an Agreement immediately if you breach these Terms (e.g., non-payment) and don’t fix it within a reasonable time.
- Upon termination, you must pay for all Services and expenses incurred up to the termination date.
11. Governing Law and Jurisdiction
These Terms and any disputes will be governed by the laws of France. Any disputes will be heard exclusively in the competent courts located in Paris, France.
12. Changes to These Terms
We may update these Terms at any time. We will post the revised version on our Website with a new “Last Updated” date. Your continued use means you accept the new Terms.
